Welcome to Misetric. These Terms of Service govern your access to and use of the Misetric website at www.misetric.com and the Misetric Restaurant Point-of-Sale (POS) software, including all related applications, services, and tools (collectively, the "Service").

By registering for, accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, restaurant, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to all of these Terms, you must not access or use the Service.

Misetric provides a cloud-based software-as-a-service (SaaS) platform designed for restaurants. The Service allows Subscribers to manage orders, menus, tables, inventory, employees, and sales reporting in one place. Features may be updated, modified, or discontinued from time to time at our sole discretion.

3.1. To use the Service, you must register for an account and provide accurate, current, and complete information as prompted.
3.2. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must immediately notify us of any unauthorized use of your Account.
3.3. You must be at least 18 years old to use the Service.

4.1. We offer various subscription plans, including details on pricing, billing cycles, and features. Current plans are published on our website.
4.2. Fees are payable in advance, in Nigerian Naira (₦) or other specified currencies. All fees are non-refundable except as required by law or expressly stated in these Terms.
4.3. We use third-party payment processors. You agree to their terms and provide accurate billing information.
4.4. We reserve the right to change our fees upon 30 days' notice. Your continued use after the change becomes effective constitutes your agreement to pay the modified amount.
4.5. Failure to pay may result in the suspension or termination of your access to the Service.

5.1. License: Subject to your compliance with these Terms and payment of fees, Misetric grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during your subscription term.
5.2. Restrictions: You shall not, and shall not permit others to:
* License, sell, rent, lease, transfer, assign, or commercially exploit the Service.
* Modify, make derivative works of, disassemble, decompile, or reverse engineer any part of the Service.
* Use the Service to build a competitive product or service.
* Use the Service in any unlawful manner, for any unlawful purpose, or in violation of any regulation.
* Upload or transmit any viruses, malware, or code of a destructive nature.

6.1. Your Data: "Your Data" refers to any data, information, or content you upload, import, record, or transmit through the Service (e.g., menus, orders, customer transactions, inventory).
6.2. Ownership: You retain all right, title, and interest in and to Your Data. By submitting Your Data, you grant Misetric a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process Your Data solely to provide, maintain, and improve the Service.
6.3. Privacy: Our collection and use of personal data in connection with the Service is governed by our Privacy Policy (available at [Link to Privacy Policy]), which is incorporated into these Terms.
6.4. Data Backup: You are solely responsible for backing up Your Data. While we implement industry-standard measures, we do not guarantee against data loss.

The Service, including its "look and feel," design, software, trademarks, and all content (excluding Your Data) are and shall remain the exclusive property of Misetric and its licensors. These Terms grant no intellectual property rights in the Service other than the limited use license specified in Section 5.

The Service may integrate with or contain links to third-party services (e.g., payment gateways, delivery platforms). Your use of such services is governed by their own terms. We do not endorse, control, or assume responsibility for any third-party service.

9.1. These Terms commence when you create an Account and continue until terminated.
9.2. You may terminate your Account at any time via the Service dashboard or by contacting us.
9.3. We may suspend or terminate your access to the Service immediately if you materially breach these Terms, including non-payment.
9.4. Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, delete Your Data after a reasonable period post-termination. It is your responsibility to export Your Data prior to termination.

10.1. "As Is" Service: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
10.2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, MISETRIC AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE.
10.3. Cap on Liability: OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.

You agree to indemnify, defend, and hold harmless Misetric and its affiliates from and against any and all claims, damages, liabilities, and expenses arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.

12.1. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
12.2. Any dispute arising from these Terms shall first be attempted to be resolved amicably through good-faith negotiations.
12.3. If negotiation fails, the dispute shall be subject to the exclusive jurisdiction of the courts located in [State in Nigeria where your company is based, e.g., Lagos State, Nigeria].

13.1. Modifications: We reserve the right to modify these Terms at any time. We will provide notice of material changes via the Service or by email. Your continued use after the effective date constitutes acceptance of the new Terms.
13.2. Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control (e.g., acts of God, war, civil unrest, internet or utility failures).
13.3. Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Misetric regarding the Service.
13.4. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.5. No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
